Confidentiality Agreements

All proposed confidentiality agreements should be forwarded to OTT for review. If you sign an agreement on behalf of William & Mary, and are not authorized to do so (you will know if you are authorized), you may be subjecting yourself to substantial legal liability.

Confidentiality agreements typically go by the names CDA (confidential disclosure agreement), RDA (restricted disclosure agreement), or NDA (non-disclosure agreement). The purpose of a confidentiality agreement is usually to allow two or more parties to evaluate or engage in a discussion of information that is confidential to one or more of the parties.

W&M has standard templates that we regularly use for one-way and mutual CDAs. In general, these templates are acceptable to external parties with few (if any) requested revisions.
