An introductory examination of the law applicable to corporations. This course examines the process of formation and capitalization of corporations, the concept of limited liability, and the role of fiduciary
duties in corporate governance. We will examine how these duties are enforced in different settings (public
corporations and close corporations); under state and federal law; and some other recurring litigation and planning issues.
